TECH-SUITE TERMS OF SERVICE

Effective Date: January 1, 2026

These Terms of Service (“Terms”) govern your access to and use of tech-suite.com (the “Site”) and Tech-Suite’s software applications, products, and services, including MobilePix and HomeSpec (collectively, the “Services”). The Site and Services are owned and operated by Tech-Suite Inc. (“Tech-Suite,” “we,” “us,” or “our”).

By accessing or using the Site or Services, you confirm that you have read and understood these Terms and agree to be bound by them. If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.


1) Eligibility and Use of the Services

You may use the Services only if you can form a binding contract and are not prohibited from receiving services under applicable law. The Services are intended for business use.

2) Accounts, Access, and Security

Some parts of the Services require an account.

You agree to:

  • provide accurate and complete account information and keep it updated;
  • maintain the confidentiality of your credentials;
  • promptly notify us of any unauthorized use of your account; and
  • be responsible for all activity that occurs under your account.

We may suspend or terminate accounts that we reasonably believe are compromised, used unlawfully, or used in violation of these Terms.


3) Acceptable Use

You agree not to use the Site or Services to:

  • violate any law, regulation, or third-party rights;
  • upload, transmit, or store malicious code, viruses, or harmful content;
  • attempt to gain unauthorized access to any system, account, or data;
  • interfere with or disrupt the integrity or performance of the Services;
  • probe, scan, or test vulnerabilities without our written permission;
  • engage in fraudulent, deceptive, or misleading conduct;
  • reverse engineer, decompile, or attempt to extract source code (except where prohibited by law); or
  • use the Services to build a competing product or service.

We may investigate suspected violations and may suspend or terminate access to protect the Services, our users, or others.


4) Intellectual Property

All content and materials on the Site and Services—including logos, designs, text, graphics, interfaces, software, documentation, and other content—are owned by Tech-Suite or its licensors and are protected by intellectual property laws.

Tech-Suite grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms and any applicable order form or subscription agreement.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works from our content or Services.


5) Customer Data and User Content (MobilePix & HomeSpec)

The Services may allow you (or your organization) to submit or upload information, files, images, inspection records, notes, photos, documentation, or other content (“Customer Data”). For example, Customer Data may include claim-related documentation and inspection content captured through MobilePix or HomeSpec.

As between you and Tech-Suite:

  • you (or your organization) retain ownership of Customer Data; and
  • you grant Tech-Suite the right to host, process, transmit, and display Customer Data solely to provide, secure, and improve the Services, to troubleshoot and provide support, to prevent fraud and abuse, and as otherwise permitted by law and our Privacy Policy.
     

Customer-Controlled Data. If you are using the Services as an end user (for example, a policyholder receiving a link or a third-party inspector using a customer’s workspace), the organization that provided access to the Services (such as an insurance company or vendor firm) may control how Customer Data is collected, used, retained, and shared within their account. Your relationship with that organization may provide additional rights and obligations.

You represent and warrant that you have the necessary rights and permissions to submit Customer Data and that doing so does not violate any law or third-party rights.

6) Third-Party Services and Links

The Site or Services may include links to third-party websites or integrate with third-party services. We do not control and are not responsible for third-party content, terms, privacy practices, or availability. Your use of third-party services is governed by their terms.


7) Subscriptions, Fees, Trials, and Billing (If Applicable)

Tech-Suite may offer paid subscriptions, usage-based plans, trials, or promotional access. Pricing, features, and billing terms will be presented at the time of purchase, in-product, or in an order form.

If you purchase paid Services, you agree that:

  • you will pay all applicable fees and taxes, as described at checkout or in an order form;
  • you authorize Tech-Suite (and/or our payment processor) to charge your payment method for recurring or usage-based fees, as applicable;
  • subscriptions may renew automatically unless canceled in accordance with the applicable plan terms; and
  • we may suspend access for non-payment after providing reasonable notice where appropriate.

Trials. If you use a trial, Tech-Suite may modify or end the trial at any time. Trial Services are provided “as is” and may have limited features or support.


8) Service Availability and Changes

We aim to provide reliable Services, but availability is not guaranteed. We may modify, suspend, or discontinue parts of the Site or Services, and we may update features from time to time.

We may apply updates, patches, or changes that are necessary for security, legal compliance, or operational reasons.


9) Confidentiality

If you receive non-public information about Tech-Suite or the Services, you agree to keep it confidential and use it only to evaluate or use the Services.

Enterprise customers typically execute separate confidentiality agreements (NDAs) or MSAs. If there is a conflict between those agreements and these Terms, the signed agreement controls.


10) Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECH-SUITE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any outputs or results will be accurate or complete.


11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECH-SUITE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECH-SUITE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO TECH-SUITE FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID ANY AMOUNT).

Some jurisdictions do not allow certain limitations; in that case, those limitations apply to the greatest extent permitted.


12) Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Tech-Suite and its directors, officers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

  • your use of the Site or Services;
  • your Customer Data (including claims that it infringes or violates rights); or
  • your violation of these Terms or applicable law.
     

13) Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services:

  • if you violate these Terms;
  • if your use poses a security risk or could harm the Services or other users; or
  • if required by law.
     

Upon termination, your right to use the Services ends. Certain sections (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, and Governing Law) survive termination.


14) Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.


15) Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.


16) Changes to These Terms

We may update these Terms to reflect changes to the Services, legal requirements, or operational practices. When we do, we will update the Effective Date at the top. If changes are material, we may post a notice on the Site or provide additional notice where appropriate.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.
